大陆法系时效通论

引言:
时效问题,实质为时效与财产权之冲突问题,两者权重的不同分配形成古今中外各国、各地区五花八门之时效制度——如以古中国为参照,古罗马与古中国分处两个极端,法、中、德、台、日[2]等大陆法系各国、各地区分布于中间。此冲突,各国、各地区至今均未能彻底解决,笔者曾在《论超过诉讼时效债权的再救济》一文中,指陈中国现行诉讼时效制度的硬伤。随后,通过对比其他国家的时效制度,发现其规定也存在类似的问题。

引言:

Houses)

In this Ordinance, unless the context otherwise requires--
rge" means any form of security, including a mortgage;

whose activities or objects include the provision of services for

PART II DECLARATION OF CLEARING HOUSES FOR PURPOSES OF THIS ORDI-
NANCE AND RULES OF CLEARING HOUSES
ecognized clearing houses
Where the Commission is satisfied that it is appropriate to do
so in
interest of the investing public or in the public interest, or
for the
er regulation of services for the clearing and
settlement of
sactions in securities, it may, with the consent in writing
of the
ncial Secretary, by notice in the Gazette, declare a clearing
house to
recognized clearing house for the purposes of this Ordinance.
Where the Commission makes a declaration under subsection
(1) in
ect of a clearing house--
it shall give notice thereof in writing to the clearing house;
and
the rules of the clearing house in operation immediately
before the
aration shall continue to have effect unless otherwise
specified, or
l such time as is specified, in the notice referred to in paragraph

Subject to section 3 (2) (b) and subsection (4), no rules
of a
gnized clearing house (including any default rules of the
clearing
e) or any amendment thereto shall have effect unless
approved in
ing by the Commission.
A recognized clearing house shall have rules which provide
for the

y, and such rules shall comply with the requirements of Schedule
2.
Where a recognized clearing house takes any default proceedings,
all
equent proceedings or other action taken under its rules
for the

clearing house notwithstanding that, but for this subsection,
such
equent proceedings or other action would not be treated as done
under
default rules of the clearing house.
The Commission may, by notice in the Gazette, declare any
class of

ring house) to be a class of rules which are not required
to be
oved under subsection (1) and, accordingly, any rules of that
clearing
e which belong to that class (including any amendment thereto)
shall
effect notwithstanding that they have not been so approved.
Without prejudice to the operation of subsection (4), a
recognized
ring house shall submit or cause to be submitted to the
Commission,
the information of the Commission, any of its rules
(including any
dment thereto )--
which belong to a class of rules the subject of a declaration
under
ection (4); and
as soon as practicable after those rules (or amendment thereto,
as the
may be) are made.
A recognized clearing house shall submit or cause to be
submitted to
Commission for its approval the rules of the clearing house and
every
dment thereto except any rules (including any amendment thereto)
which

subsection
Subject to subsections (8) and (9), the Commission shall,
within 6
s after the receipt of any submission under subsection (6)
from a
gnized clearing house, give notice in writing to the clearing
house

The Commission may, in a particular case, with the agreement of

gnized clearing house concerned, extend the time
prescribed in

The Financial Secretary may, on the advice of the
Commission and
er generally or in a particular case, extend the time
prescribed in
ection (7).
The Commission may request in writing a recognized clearing
house--
to make rules--
specified in the request; and
within the period specified in the request; or
to amend rules--
referred to in the request;
in the manner specified in the request; and
) within the period specified in the request.
Where the Commission is satisfied that a recognized clearing
house
not complied with a request referred to in subsection (10) within
the
od specified in the request, the Commission may direct in writing
the
ring house to comply with the request within such further period
as is
ified in the direction and, accordingly, the clearing house
shall

For the purposes of subsection (10), "rules", in relation
to a

PART III MODIFICATIONS OF THE LAW OF INSOLVENCY TO SAFEGUARD OPE-

None of the following shall be regarded as to any extent
invalid at

a market charge;
the default rules of a recognized clearing house; or
any default proceedings.
Subject to subsection (3), the powers of a relevant office-
holder in
capacity as such, and the powers of a court under the
law of
lvency, shall not be exercised in such a way as to
prevent or
rfere with--
the settlement in accordance with the rules of a recognized
clearing
e of a market contract; or
any default proceedings.
Subsection (2) shall not operate to prevent a relevant
office-holder
seeking to recover any amount under section 11 after the
completion

r particulars in respect of such proceedings as it thinks fit.
A recognized clearing house which has made a report
pursuant to
ection (1) shall supply the report to--
the Commission;
any relevant office-holder acting in relation to--
the defaulter to whom the report relates; or
that defaulter's estate;
if there is no relevant office-holder referred to in paragraph
(b),
defaulter to whom the report relates.
Where the Commission receives pursuant to subsection (2) a report
made
uant to subsection (1), it may publish notice of that fact in
such
er as it thinks appropriate to bring it to the attention of
creditors
he defaulter to whom the report relates.
Where a relevant office-holder or defaulter receives
pursuant to
ection (2) a report made pursuant to subsection (1), he shall,
at the
est of a creditor of the defaulter to whom the report relates--
make the report available for inspection by the creditor;
on payment of such reasonable fee as the relevant office-
holder or
ulter, as the case may be, determines, supply to the creditor all
or
part of that report.
In subsections (2), (3) and (4), "report" includes a copy of a
report.

The provisions of this section shall apply with respect to any

of the Companies Ordinance (Cap. 32) shall apply in relation to
any
matter or thing which has been done pursuant to--
a market contract;
a disposition of property pursuant to a market contract;
the provision of market collateral;
a contract effected by a recognized clearing house for the purpose
of
izing property provided as market collateral, or any
disposition of
erty pursuant to such a contract;
a disposition of property in accordance with the rules of a
recognized
ring house as to the application of property provided as
market
ateral;

第一章 总 则
第一条 为加强商品交易市场的监督管理,维护正常的交易秩序,保护商品交易市场开办者、经营者和消费者的合法权益,促进商品交易市场的健康发展,根据有关法律、法规的规定,结合本自治区实际,制定本条例。
第二条 本条例所称商品交易市场(以下简称市场),是指有固定的场所、设施,有若干经营者入场实行集中、公开交易的生活资料、生产资料现货市场。
本条例所称经营者,是指进入市场从事经营活动的单位和个人。
第三条 各级人民政府应当把市场的设置建设和改造纳入城市总体规划和村庄、集镇总体规划,坚持统筹安排、合理布局、有利生产、方便生活、搞活流通、讲求实效的原则。
各级人民政府应当采取措施,组织、协调、督促有关部门做好市场的监督管理工作。
第四条 在本自治区行政区域内开办的市场、在市场内从事经营活动的单位和个人,对市场进行监督管理的部门及其工作人员,必须遵守本条例。
在本自治区行政区域内开办的各种商品交易会、商品展销会、物资交流会,也应当遵守本条例。
第五条 从事商品交易活动,必须遵守法律、法规,遵循自愿、平等、公平、诚实信用的原则。
合法的商品交易活动受法律保护,任何单位和个人不得非法干预。
第六条 工商行政管理部门主管市场的监督管理工作。
公安、卫生、物价、税务等有关部门,按照各自的职责分工,依法参与市场的监督管理。
第二章 市场开办和登记
第七条 企业、事业单位、社会团体和其他组织或者个人均可以申请开办市场。法律、法规另有规定的除外。
第八条 开办市场应当具备以下条件:
(一)符合城市总体规划和村庄、集镇总体规划;
(二)有相应的场地、设施和资金;
(三)上市商品符合国家规定;
(四)有相应的市场服务机构;
(五)国家和自治区规定的其他条件。
第九条 开办市场实行登记制度。未经登记,不得开办市场。
开办者应当向市场所在地县级以上工商行政管理部门申请办理市场登记。
第十条 申请市场登记,必须提交下列文件、证件:
(一)申请报告;
(二)可行性论证报告;
(三)所在地县级以上人民政府或者其授权部门批准开办的文件;
(四)市场开办者的合法资格证明;
(五)土地使用证明;
(六)属于联合开办的,并提交联办各方共同签署的协议书;
(七)法律、法规有特殊规定的,应当提交特定批准机关批准开办的文件。
第十一条 工商行政管理部门应当自收到申请人提交的全部文件、证件之日起20日内作出决定。准予登记的,发给《市场登记证》;不准予登记的,书面通知申请人。
市场的登记注册事项包括:市场名称、市场地址、市场面积、上市商品种类、市场开办者及负责人等。
第十二条 市场因迁移、合并、分立、扩建、撤销、负责人变更等原因改变市场登记注册事项的,开办者应当在作出决定之日起30日内到原登记机关办理变更、注销登记。市场登记机关自受理之日起15日内作出准予变更、注销或者不准予变更、注销的决定。
第十三条 市场登记机关依法对登记的市场实行年度检验。
第三章 上市商品和交易活动
第十四条 生活资料和生产资料,除国家和自治区禁止或者限制买卖的以外,均可以上市交易。
国家和自治区人民政府实行定购的农副产品,生产者在完成定购任务后,方可上市交易。
国家对生产资料流通渠道、交易方式等有特殊规定的,应当按其规定执行。
第十五条 旧机动车、旧船等,可以凭有关牌照和证明,在指定的场所上市交易。
第十六条 下列商品或者物品禁止交易:
(一)走私物品;
(二)国家和自治区重点保护的野生动植物及其制品;
(三)假冒伪劣商品;
(四)反动、淫秽出版物及其他非法出版物;
(五)有毒、有害、污秽不洁、腐烂变质的食品,病死、毒死或者死因不明的禽、畜、水产品及其制品;
(六)变质、过期失效和国家明令淘汰的产品;
(七)报废或者非法拼装的机动车辆;
(八)国家和自治区规定禁止销售的其他商品或者物品。
第十七条 经营者从事商品经营活动,必须持有当地工商行政管理部门核发的营业执照或者其他合法凭证,并按核定的经营范围、经营方式,在指定的摊位亮证经营。
第十八条 在市场销售国家实行专营专卖或者国家和自治区人民政府实行专项许可证管理商品的,必须报经有关行政主管部门批准并取得相应的证件,方可向工商行政管理部门申请办理营业执照,持证、亮证经营。
第十九条 经营者在商品交易活动中,不得采取下列行为:
(一)在商品中掺杂、掺假,以假充真,以次充好,以不合格商品冒充合格商品;
(二)使用不合格的计量器具,利用计量器具作弊;
(三)垄断货源、欺行霸市、哄抬物价;
(四)强买强卖和其他欺诈行为;
(五)拒绝、妨碍行政执法人员依法执行公务,侮辱、殴打行政执法人员;
(六)损坏商品市场设施或者财物;
(七)法律、法规禁止的其他行为。
第二十条 在市场内进行交易活动,必须执行国家和自治区价格管理的有关规定,实行明码标价。
第二十一条 上市的产品,必须按照国家的规定,有产品合格证并标明品名、产地、规格、型(牌)号、计价单位和销售价格。
上市的畜、禽及其制品必须按有关规定进行检疫。
第二十二条 经营者应当使用税务部门统一印制和管理的发票。
第二十三条 经营者从事商品交易活动,对消费者依法提出的更换、退货、补足商品数量等正当要求,不得故意拖延或者无理拒绝,不得侵害消费者的人格尊严。
第四章 监督管理和服务
第二十四条 工商行政管理部门监督管理市场的主要职责是:
(一)贯彻执行有关市场监督管理的法律、法规;
(二)审核并办理市场开业、变更、注销登记;
(三)审查、确认经营者的主体资格;
(四)监督经营者的交易行为;
(五)查处交易活动中的违法行为,维护市场秩序;
(六)法律、法规规定的其他职责。
第二十五条 工商行政管理部门可以根据需要,在市场内设置专门管理机构或者配备专职管理人员监督管理市场。
第二十六条 公安部门可以根据市场治安管理的需要在大中型市场设置治安管理机构或者配备专职民警,维护市场的治安秩序。
第二十七条 市场监督管理人员应当依法行使职权、秉公执法、文明管理、清正廉洁,并自觉接受经营者和消费者的监督;在执行公务时,应当按规定着装,并出示有关证件;对未出示有关证件进行检查的,被检查者有权拒绝检查。
第二十八条 市场监督管理人员不得在市场内从事商品经营活动。
第二十九条 市场开办者设立服务机构,应当依法办理登记注册,领取营业执照后,方可从事经营业务。
市场开办者设置的服务机构的职责是:
(一)负责市场经营设施和安全防范设施的建设、维修;
(二)建立、健全市场交易、防火、防盗、环境卫生、治安等制度;
(三)负责市场的日常事务管理;
(四)提供相应的服务;
(五)协助有关行政主管部门依法对市场进行监督管理;
(六)应承担的其他管理事务。
第三十条 市场开办者应当在市场醒目位置设置有专人负责的公平计量器具,并不得收取任何费用。
第三十一条 市场的开办者以及进行商品交易的经营者应当依法纳税。
第三十二条 在市场内进行交易活动的经营者应当按有关规定向市场所在地的工商行政管理部门缴纳市场管理费。
市场开办者可以按有关规定向经营者收取市场设施租赁费;提供服务的,可以按有关规定收取服务费。
第三十三条 任何单位和个人不得在市场自行设立收费项目或者提高收费标准。
对乱收费、乱摊派的,经营者有权拒付和举报,各级人民政府应当予以查处。
第五章 法律责任
第三十四条 违反本条例第九条规定,未经登记擅自开办市场的,没收开办者的违法所得,处以2000元以上10000元以下的罚款,并予以取缔或者责令限期补办登记。
第三十五条 市场开办者伪造证件骗取《市场登记证》的,收缴其《市场登记证》,没收违法所得,并处以2000元以上10000元以下的罚款。
第三十六条 违反本条例第十二条、第十三条规定,不按期办理年检或者变更、注销登记的,责令限期办理;逾期不办理的,处以1000元以上5000元以下的罚款。
第三十七条 违反本条例第十六条规定的,按以下规定处罚:
(一)违反第(一)项规定的,没收走私物品和违法所得,可以并处走私物品总值2%以上20%以下的罚款,或者责令停业整顿、吊销营业执照;
(二)违反第(二)项规定的,没收实物和违法所得,可以并处相当于实物价值10倍以下的罚款;
(三)违反第(三)、(六)项规定的,没收商品和违法所得,可以并处违法所得1倍以上5倍以下的罚款,可以吊销营业执照;
(四)违反第(四)项规定的,没收全部非法出版物和违法所得,可以并处非法出版物总定价5倍以下的罚款;
(五)违反第(五)项规定的,收缴、销毁物品,没收违法所得,并处以违法所得1倍以上5倍以下的罚款;
(六)违反第(七)项规定,出售报废车辆的,予以没收、销毁,没收违法所得,并处以销货额10%以内的罚款;出售非法拼装机动车辆的,予以没收,没收违法所得,并处以销货额10%以内的罚款。
第三十八条 违反本条例第十九条规定的,按以下规定处罚:
(一)违反第(一)项规定的,没收商品和违法所得,可以并处违法所得1倍以上5倍以下的罚款;情节严重的,责令停业整顿或者吊销营业执照;
(二)违反第(二)项规定的,没收计量器具和违法所得,可以并处2000元以下的罚款;
(三)违反第(三)、(四)项规定的,责令改正,没收违法所得,可以并处5万元以下的罚款;情节严重的,责令停业整顿或者吊销营业执照;
(四)违反第(六)项规定的,责令照价赔偿。
第三十九条 违反本条例第二十条、第二十一条第一款规定的,责令改正;拒不改正的,处以1000元以下的罚款。
第四十条 违反本条例第二十一条第二款规定的,责令进行检疫,可以并处500元以下罚款。
第四十一条 经营者违反本条例规定,给消费者的人身、财产造成损害的,应当依法承担赔偿责任;构成犯罪的,依法追究刑事责任。
第四十二条 市场监督管理人员违反本条例第二十七条规定,滥用职权、玩忽职守、徇私舞弊、索贿受贿的,由其所在单位或者有关机关依法给予行政处分;构成犯罪的,依法追究刑事责任。
第四十三条 侮辱、殴打市场监督管理人员或者妨碍市场监督管理人员依法执行公务的,依照《中华人民共和国治安管理处罚条例》处罚;构成犯罪的,依法追究刑事责任。
第四十四条 违反本条例第二十八条规定的,责令停止经营活动,没收违法所得,并给予行政处分。
第四十五条 违反本条例第三十三条规定的,依照《广西壮族自治区行政事业性收费管理条例》的规定处理。
第四十六条 没收违法所得和收缴罚款,应当出具自治区财政主管部门统一印制的罚没收据。
没收的物品,法律、法规规定必须由有关部门处理的,依法送有关部门处理。罚没款一律上交同级财政。
第四十七条 本条例规定的行政处罚,由工商行政管理部门和其他有关部门,依照法律、法规的规定,在各自的职责范围内决定。
对违反本条例的同一违法行为,不得给予两次及其以上的行政处罚。
第六章 附 则
第四十八条 本条例具体应用中的问题由自治区工商行政主管部门负责解释。
第四十九条 本条例自公布之日起施行。
